Terms and Conditions of Auction for GPU Resources
These Terms and Conditions (“Terms”) govern the participation in the auction for GPU resources offered on Nebius AI Service Platform (“Auction”) organized by Nebius B.V. (“we, ‘ ‘us, ‘ or ‘our’). By participating in the Auction, you (‘you’ or ‘Participant’) agree to be bound by these Terms.
Please read these Terms carefully. If you do not agree to these Terms, you may not participate in the Auction.
1. Bid requirements
a. Minimum Bid and Consumption period: Nebius reserves the right to set the minimum and maximum bid for GPU resources (amount of the resources, price and consumption period) that will be published on the website of the auction.
b. Resources: bid includes only GPU, CPU and RAM resources, consumption of any additional resources will be charged separately in accordance with Nebius AI Services Agreement.
c. Payment Terms: upon winning the auction, you are required to make a 100% prepayment for GPU resource consumption for the reserved period. If you meet the winning criteria, you agree that Nebius will charge your credit card for the prepayment of resources. VAT will be charged at the end of the reporting period if applicable by law. d. Requirements for Participants: companies, as legal entities, or individuals who are 18 years of age or older registered on Nebius AI Service Platform, are eligible to participate in the Auction. By submitting a Bid on behalf of the legal entity, Participants warrant and represent that they are duly authorized representatives of the legal entity and have the authority to bind such entity to the terms and conditions of the Auction. All Participants should be registered on Nebius AI Platform and accept Nebius AI Services agreement https://nebius.ai/docs/legal/agreement that is a binding agreement between the Parties.
e. Territorial Restrictions: GPU resources may not be accessible in the location where you’ve submitted a Bid or plan to utilize them. We retain the discretion to restrict the geographical areas for Bid placement, as necessary to adhere to relevant laws and regulations.
2.Bidding and bid acceptance
a. Bidding Process: the auction operates with a descending price model. Customers submit their bid at a specified price for the desired capacity, subject to limits set by Nebius. The price of the capacity decreases over time during the auction.
b. Winning Criteria: when the auction price drops to match Customer’s bid price, subject to capacity of the resources, and Customer makes 100% prepayment for the allocated resources, the bid is considered as winning.
c. Your bid is not legally binding for Nebius. By placing a bid, you acknowledge that it constitutes an offer to purchase, as per these Terms, all GPU resources listed in the bid. Usage of GPU resources is subject to the terms of Nebius AI Services agreement with Nebius.
d. It is your responsibility to review all the information provided about GPU resources before placing a bid. While we aim to offer accurate descriptions of the Services available through the Platform, we cannot guarantee that the product descriptions, pricing, or other provided information are accurate, complete, precise, reliable, current, or free from errors.
e. All Bids are subject to our approval, and we are under no obligation to fulfil any Bid unless it is approved by Nebius. We reserve the right to reject any Bid at our discretion, which may include cases such as unavailability of ordered services, suspicion of fraudulent activity, identification of Participants under sanctions, or any other circumstances deemed appropriate solely by us. We retain the sole discretion to decide which customers will receive GPU Resources and are not bound to accept the highest bid.
3. Additional Terms
a. We reserve the right to amend or modify these Terms at any time, with or without notice, at our sole discretion.
b. Limitation of liability: Participants agree that under no circumstances shall we be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or loss of goodwill.
c. Governing Law: these Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles.
By participating in the Auction, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with any part of these Terms, you may not participate in the Auction.
